$83.75 million recovery

Julie & Holleman represented former TerraForm Power stockholders in litigation arising from Brookfield Asset Management’s take-private acquisition of the company. The litigation spanned several years and included two appeals to the Delaware Supreme Court, millions of pages of document discovery, extensive discovery motion practice, and numerous depositions. The case ultimately resulted in an $83.75 million recovery for former TerraForm Power stockholders.

R1 RCM Inc.

$45.4 million recovery + significant governance reforms

Julie & Holleman represented R1 stockholders in litigation challenging a recapitalization involving the company’s controlling stockholders and R1’s subsequent acquisition of Cloudmed. The litigation involved extensive fact and expert discovery, including approximately one million pages of documents, ten motions to compel, and nineteen fact depositions. The settlement provided $45.4 million in cash and eliminated a governance provision that gave certain stockholder-appointed directors enhanced authority over the size of R1’s board.

Golden Nugget Online Gaming, Inc.

$22 million recovery

Julie & Holleman represented former Golden Nugget Online Gaming stockholders in litigation challenging the company’s acquisition by DraftKings and additional benefits allegedly received by the company’s controlling stockholder in connection with the transaction. After defeating a motion to dismiss, plaintiffs conducted substantial discovery, including the review of more than 450,000 pages of documents, and worked with valuation and industry experts to develop their claims. The litigation ultimately resulted in a $22 million cash recovery for former Golden Nugget Online Gaming stockholders.

Weber Inc.

$19.25 million recovery

Julie & Holleman represented former Weber stockholders in litigation challenging the company’s take-private acquisition by its controlling stockholder, BDT Capital Partners. Plaintiffs conducted an extensive books-and-records investigation and obtained and reviewed more than 500,000 pages of documents from defendants and third parties. The litigation resulted in a $19.25 million cash recovery, representing approximately 10.8% of the $8.05-per-share transaction price.
